Terms of Use

These Terms of Use (the "Terms") are an agreement between you and Rioa, LLC ("Rioa", "we", "us") and govern your use of the Sonr desktop application, the getsonr.com website, the Sonr license service, and any related services (together, "Sonr"). By installing or using Sonr you agree to these Terms. If you do not agree, do not use Sonr.

1. What Sonr is

Sonr is a software tool for macOS that displays market data, scans for price and volume activity, detects chart patterns, keeps a trade journal, and, when you choose to connect a brokerage account, submits orders to that account at your direction. Sonr runs on your own computer. Rioa does not hold your money or securities and is not a party to any trade.

2. Not a broker, adviser, or recommendation

Rioa is not a broker-dealer, investment adviser, or financial institution. Nothing in Sonr is investment, legal, tax, or financial advice, and nothing in Sonr is a recommendation to buy, sell, or hold any security. Scanner results, pattern detections, measured accuracy figures, backtests, and automated strategies are informational tools. Every order Sonr submits, whether you click it yourself or enable an automated strategy, is placed at your direction and on your sole responsibility. Read the Risk Disclosure before trading.

3. Your brokerage account

Trading through Sonr requires your own account with a supported broker, currently Alpaca Securities LLC ("Alpaca"). Your relationship with Alpaca is governed by Alpaca's own agreements, not these Terms. When you connect your account through "Sign in with Alpaca", you grant Sonr access to your account information and authorization to place transactions in your account at your direction. Alpaca does not warrant or guarantee that Sonr will work as advertised or expected. You can end Sonr's access at any time by disconnecting in Sonr and removing Sonr from your Alpaca dashboard.

You are responsible for everything that happens in your brokerage account while Sonr is connected, including orders placed by automated strategies you have turned on, and for keeping your computer, Alpaca login, and any API keys secure.

4. Automated strategies

Sonr includes optional automated strategies ("bots") that can place and manage orders without a click from you once enabled. Automated strategies can lose money quickly, can behave unexpectedly during fast markets, halts, outages, or data problems, and depend on your computer staying on and connected. You must monitor any strategy you enable and are responsible for turning it off. Rioa may change, limit, or remove a strategy at any time.

5. Market data

Market data shown in Sonr comes from third-party providers and may be delayed, incomplete, or inaccurate. Data is licensed for your personal use within Sonr and may not be redistributed. Providers may require you to accept their own terms.

6. Licenses and payment

Sonr is licensed, not sold. A license key entitles the person who purchased it to install and use Sonr on the number of devices and with the features of the plan purchased. Subscriptions renew automatically until cancelled. Payments are processed by Stripe; Rioa does not store your card details. Except where required by law, fees are non-refundable. You may not share, resell, or circumvent license keys.

7. Acceptable use

You agree not to: reverse engineer, decompile, or tamper with Sonr or its license checks; use Sonr to violate any law, exchange rule, or your broker's terms, including market manipulation; interfere with the Sonr services or other users; or use Sonr on behalf of a third party, or to trade accounts you do not own, without our written consent.

8. Updates and availability

Sonr may update itself and may require updates to keep working with brokers and data providers. We do not promise that Sonr or any service it depends on will be available, uninterrupted, or error-free, and we may suspend or discontinue features at any time.

9. Intellectual property

Sonr, including its software, design, pattern definitions, and documentation, is owned by Rioa and protected by copyright and other laws. These Terms grant you a limited, non-exclusive, non-transferable, revocable license to use Sonr for your own trading. All other rights are reserved. Your trade journal and settings are yours.

10. Disclaimer of warranties

SONR IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT ANY SCANNER, PATTERN, ACCURACY FIGURE, BACKTEST, OR STRATEGY WILL BE PROFITABLE OR WILL PERFORM AS IT DID IN THE PAST.

11. Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW, RIOA AND ITS MEMBERS, EMPLOYEES, AND SUPPLIERS WILL NOT BE LIABLE FOR ANY TRADING LOSSES, LOST PROFITS, LOST DATA, OR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM OR RELATED TO SONR, EVEN IF ADVISED OF THEIR POSSIBILITY. OUR TOTAL LIABILITY FOR ALL CLAIMS RELATED TO SONR WILL NOT EXCEED THE AMOUNT YOU PAID US FOR SONR IN THE TWELVE MONTHS BEFORE THE CLAIM. Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.

12. Indemnity

You will defend and indemnify Rioa against claims, losses, and expenses (including reasonable attorneys' fees) arising from your use of Sonr, your trading, or your breach of these Terms.

13. Termination

You may stop using Sonr at any time. We may suspend or terminate your license if you breach these Terms or if continuing to provide Sonr becomes impractical or unlawful. Sections 2, 3, 9 through 12, and 14 through 16 survive termination.

14. Governing law and disputes

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict-of-law rules. Any dispute will be brought in the state or federal courts located in New Castle County, Delaware, and you consent to their jurisdiction. Each party waives any right to a jury trial and to participate in a class action to the extent permitted by law.

15. Changes to these Terms

We may update these Terms. We will post the new version at getsonr.com/terms with a new effective date and, for material changes, notify you in Sonr or by email. Continued use after the effective date means you accept the change.
